Mergers & Acquisitions (M&A) form a core are of corporate law practice. Depending on the individual circumstances and structure, numerous questions of commercial and corporate law practice have to be taken into account.
The lecture addresses the key legal questions and structures of M&A transactions - starting with the legal requirements of share transfers, warranties, the duties of company directors as well, among others, merger control clearance. Zudem wird ein Überblick über die typischen Abläufe, Beteiligten und die in diesem Zusammenhang geschlossenen Vereinbarungen gegeben. Furthermore, a general overview over the M&A process as a whole, the players involved and the agreements to be concluded in the context of M&A transactions will be given.
