German Commercial Register Law in practice
The German commercial register determines the practice of corporate law in Germany. There, formal and procedural aspects are as important as material coporate law. This lecture will cover both.
The everday work of a civil law notary combines pragmatic legal practice with dogmatic exam-type application of law. Therefore, it allows to demonstrate corporate law practice as well as exam preparation in civil law.
Focal points of this lecture's general part will be commercial register applications, principles of business names, relocations and branches as well as special powers of attorney (Prokuren).
The focal point of this lecture's special part will be German corporations, in particular the German limited liability company. From a commericial register point of view, the relevant topics are
- Incorporations,
- Amendment of the articles,
- Capital increases,
- Management changes,
- Inter-Company Contracts
- Dissolution and liquidation.
